These Terms and Conditions ("Terms," "Terms and Conditions," or "Agreement") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "your," or "user"), and General Syndicate Finance, LLC ("GSF," "Company," "we," "us," or "our"), concerning your access to and use of the website located at www.gsf.company and any other media form, media channel, mobile website, or related platform linked or otherwise connected thereto (collectively, the "Site").
General Syndicate Finance, LLC is a Wyoming limited liability company with its principal place of business at 1309 S Coffeen Ave, Ste 1200, Sheridan, WY 82801.

The Site serves as an informational platform about our company, our investment philosophy, and our investment opportunities. No financial transactions, investment purchases, or securities offerings are conducted directly through this Site.
The information provided on this Site is for general informational purposes only and should not be construed as investment advice, a recommendation, or an offer to sell or a solicitation of an offer to buy any security. Any investment opportunities offered by GSF are made exclusively through separate offering documents provided to qualified investors.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GENERAL SYNDICATE FINANCE, LLC, ITS AFFILIATES, OR THEIR RESPECTIVE MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF GSF HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR IN CONNECTION WITH:
IN NO EVENT SHALL GSF'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE GREATER OF: (A) ONE HUNDRED DOLLARS ($100.00); OR (B) THE AMOUNT YOU HAVE PAID TO GSF, IF ANY, IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THE FOREGOING LIMITATIONS SHALL APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF GSF WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, GSF'S LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
You agree to defend, indemnify, and hold harmless General Syndicate Finance, LLC and its affiliates, and their respective members, managers, officers, employees, agents, successors, and assigns (collectively, "Indemnified Parties") from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to reasonable attorneys' fees and costs) arising out of or relating to:
Your access to or use of the Site. Your violation of these Terms. Your violation of any third-party right, including without limitation any intellectual property right, publicity right, confidentiality right, property right, or privacy right. Your violation of any applicable law, rule, or regulation. Any claim or damages arising from any content or information you submit, post, transmit, or otherwise make available through the Site. Any misrepresentation made by you.
We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You agree not to settle any such matter without the prior written consent of GSF. We will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.
Agreement to Arbitrate
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.
You and General Syndicate Finance, LLC agree that any and all disputes, claims, or controversies arising out of or relating to these Terms, the Site, or any aspect of the relationship between you and GSF (collectively, "Disputes"), whether based on contract, tort, statute, fraud, misrepresentation, or any other legal theory, shall be resolved exclusively through final and binding arbitration rather than in court, except that: (1) you may assert individual claims in small claims court if your claims qualify; and (2) either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
You acknowledge and agree that you and GSF are each waiving the right to a trial by jury or to participate as a plaintiff or class member in any purported class action, collective action, or representative proceeding.
Prohibition of Class Actions and Non-Individualized Relief
YOU AND GSF AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE, CLASS, OR COLLECTIVE PROCEEDING. THE ARBITRATOR MAY AWARD RELIEF ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF WARRANTED BY THAT PARTY'S INDIVIDUAL CLAIM.
Pre-Arbitration Dispute Resolution
Before initiating any arbitration proceeding, you agree to first contact us at support@gsf.company to attempt to resolve the Dispute informally. If the Dispute is not resolved within thirty (30) days after submission, either party may proceed to arbitration. A party who intends to seek arbitration must first send to the other party, by certified mail, a written Notice of Dispute ("Notice"). The Notice to GSF should be sent to:

The Notice must: (i) describe the nature and basis of the claim or Dispute; and (ii) set forth the specific relief sought.
Arbitration Procedures
If you and GSF cannot resolve the Dispute within thirty (30) days, either party may commence arbitration. The arbitration shall be administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules then in effect, which are available at www.adr.org or by calling 1-800-778-7879.
The arbitration shall be conducted in English. Unless you and GSF agree otherwise, any arbitration hearing shall take place in Sheridan County, Wyoming, or, at your election, may be conducted telephonically or by videoconference. The arbitrator shall have exclusive authority to resolve any Dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or any part of this arbitration agreement is void or voidable.
The arbitrator shall issue a written decision sufficient to explain the essential findings and conclusions on which the award is based. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
Arbitration Fees
Payment of all filing, administration, and arbitrator fees will be governed by the AAA's Consumer Arbitration Rules. If you demonstrate that such costs are prohibitive compared to the costs of litigation, GSF will pay as much of the filing, administration, and arbitrator fees as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive.
Severability of Arbitration Provision
If any portion of this arbitration provision is found to be unenforceable or unlawful for any reason, such finding shall not affect the enforceability of any other portion of this arbitration provision, except that: (a) if the prohibition on class or collective actions is found unenforceable, then the entirety of this arbitration provision shall be null and void; and (b) if a claim for public injunctive relief is found unenforceable in arbitration, that claim may be brought in court, but all other claims shall remain subject to arbitration.
Compliance with Federal Securities Laws
By agreeing to arbitration, neither you nor GSF waives compliance with the federal securities laws and the rules and regulations promulgated thereunder.
These Terms and your use of the Site shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.
For any Disputes not subject to arbitration as set forth in Section 14, you and GSF agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Sheridan County, Wyoming, and you waive any objection to such jurisdiction or venue.
By accessing the Site, submitting information through the Site, or sending us emails, you consent to receive electronic communications from us. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO THE ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SITE.
You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature, delivery, or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.
Consent to Communications
By providing your contact information through the Site, you expressly consent to receive communications from us, including but not limited to emails, telephone calls, and text messages, regarding our services, investment opportunities, and other matters. You may opt out of marketing communications at any time by following the unsubscribe instructions in any marketing email, replying STOP to any text message, or by contacting us at support@gsf.company. Please note that even if you opt out of marketing communications, we may still send you transactional or administrative messages.
These Terms shall remain in full force and effect while you use the Site.
WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SITE (INCLUDING BLOCKING CERTAIN IP ADDRESSES) TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS OR OF ANY APPLICABLE LAW OR REGULATION.
If we terminate or suspend your access to the Site for any reason, you are prohibited from attempting to access the Site under your name, a false name, or the name of any third party. In addition to terminating or suspending your access, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.
All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, intellectual property provisions, warranty disclaimers, indemnification obligations, and limitations of liability.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least fourteen (14) days' notice prior to any new terms taking effect by posting a notice on the Site or by sending an email to the address you have provided to us. What constitutes a material change will be determined at our sole discretion.

Interpretation
